We are a Company committed to the best corporate governance practices, constantly seeking the improvement of the management, control, and governance model, based on the basic principles of transparency, equity, accountability and corporate responsibility.

Time For Fun is the leader in live entertainment segment in South America, which is why we understand the relevance of establishing a solid and effective Corporate Governance model.

Focused on this commitment, Time For Fun is listed in Novo Mercado of B3 S.A. – Brasil, Bolsa, Balcão (“B3”), a listing segment that establishes a differentiated and high qualified corporate governance standards in relation to other B3 segments, nodily due to the need to adoption more robust practices, focused on transparency and governance of its signatories.

Among other practices, Time For Fun implemented its Code of Ethical Conduct, through which the purpose, values and principles of the Company and what is expected of its directors, employees, suppliers, service providers   and partners were established, based on transparency, integrity and ethical conduct in its activities and operations, aiming at the integrity and perpetuity of the Company.

In the same lines, Time For Fun has a high qualified Board of Directors (“BD”) based on transparency and independence. The board is the highest body of the Company’s Management and guides the management in conducting the company’s activities. Thus, under the most modern ESG practices, the BD periodically reviews the Company’s corporate governance processes to conserve its functional management processes and improve lame processes.

The board has two advisory committees, both segmented and focused on the main fronts of the Company’s corporate and governance activities, named: (i) the Audit Committee, the BD’s permanent advisory body in the audit, internal controls and risk management processes, composed of technical, independent members who meet the requirements established by the Novo Mercado’s Regulation B3 and (ii) the Committee of People and ESG, linked directly to the BD.

Finally, in addition to the above practices, Time For Fun has a highly regulated Corporate Governance structure, with its practices linked to modern internal policies and its management bodies subordinate dwellers to internal regulations for its regular and effective functioning.

Marcelo Hallack - Chairman of the Board

Graduated in Economics from Stanford University, Marcelo is currently partner and Chairman of Bionexo do Brasil S.A., a leading marketplace for the hospital sector. Prior to that, he was a partner of BTG Pactual (2008-2016) and head of the Private Equity Division (2015-2016) in Sao Paulo. At BTG Pactual, Marcelo led/took part in the investment and was advisor to several companies, including Estapar, Rede D’Or Sao Luiz and Eneva. Prior to joining BTG Pactual, Marcelo worked in private equity for Kohlberg Kravis Roberts (NY) from 2006 to 2008 focusing on media & telecom and consumer products & services. Marcelo also worked in Goldman Sachs´ Investment Banking Division (NY) from 2003 to 2006 focusing on M&A and transactions in the media, telecom and IT industries.

Fernando Luiz Alterio - Vice-Chairman of the Board

Graduated in Business Administration at Fundação Getulio Vargas (FGV), acted for a few years in the financial market and in 1982 founded the Palace, the first modern entertainment venue in São Paulo. In the period between 1987 and 1997 he occupied several positions as the CEO and Member of the Board of the sugarcane group Usina da Barra. In 1999 he began partnering with CIE for the promotion of events in South America. In 2002, Fernando was appointed as Member of the Board of Directors and he is currently Vice-Chairman and CEO of the Company.

Luis Alejandro Soberón Kuri – Member of the Board

He graduated in Business Administration from the Ibero-American University. Mr. Luis founded the Corporación Interamericana de Entretenimiento, a company in which he holds the position of Chairman of the Board of Directors and Executive Chairman, and also, in which, in December 2006, he was appointed General Director. Previously, Mr. Luis was a member of the Board of Directors of Telefonos de México S.A.B. de C.V. and is currently also a member of the Board of Directors of Banco Nacional de México S.A. and América Móvil S.A.B. de C.V. In May 2007, he became a member of our Board of Directors. 

Carla Gama Alves - Independent Member of the Board

Master’s degree in Systems Engineering from the Federal University of Rio de Janeiro, with extension courses in Management, Leadership, Talent Management and Corporate Governance, from MIT, IMD and Harvard. More than 35 years of professional experience and specialist in the areas of Strategy, Management, Cultural Organization, People Management and ESG. He held C-level positions at Vale, Soma Group, CVC Corporation, where he also served as CEO of Experimento Intercâmbio Cultural; and Hinode Group, as Vice President of Strategy, People and ESG. Independent member of the Board of Directors and Chairman of the People and ESG Committee of Time for Fun. Independent member of the Sustainability Committee of Hinode Group and independent member of the Deliberative Council of the Instituto FAR.

Galeno Augusto Jung - Independent Member of the Board

Graduated in Control and Automation Engineering at Universidade Federal de Santa Catarina, with extension courses in Finance from Insper and MBA at INSEAD. During his professional carrer, Mr. Jung had relevant passages in several companies such as Embraco, Unibanco, Whirlpool and The Boston Consulting Group (BCG). Mr. Jung left his position of VP of Strategy, Inovation, Marketing & Analytics at Grupo Fleury, where he worked for 6 years.

Bachelor’s in business administration at Fundação Getulio Vargas (FGV), Marcelo had his early professionals’ years in an Investment Bank working with M&A, and lately in an Asset Management of an Insurance Company. While still working in the financial Market, Marcelo opened JAM that, being more than just a restaurant, would become a business incubator for his music producer. In 2004, Barong was born, promoting for 7 years a summer festival in Ilhabela, gigs and tours, and consulting for major projects like TIM Festival. In 2010, Marcelo created the “Festival Internacional de Músicos de Metrô”, which its success leaves him to win the “Prêmio Caio” awards of “Melhor Evento de Âmbito Internacional” and the renowned Globe Awards in “Melhor Marketing de Eventos” category. In 2011, Marcelo was Director of Entertainment at GEO Eventos, company controled by Grupo Globo, when he participated of the negotiations of Lollapalooza Brazil first edition. In the same year, he opened Cine Jóia and became partner and director of Grupo Vegas.

Graduated in Computer Engineering from the Polytechnic School of the University of São Paulo, with Anbima Manager Certification (CGA) and complete Chartered Financial Analyst (CFA) levels I and II. Gulherme Mamprim is a Manager/Analyst of brazilian and global equity funds and has excellent skills in valuation, asset allocation and risk management. He has experience with wealth management and systematic investment management (Quant). He is a partner at Loyall Capital Partners and a founding partner at Expoente Capital, both in São Paulo.

Valdemir Marega Ferreira – Independent Member

Graduated in Accountancy in 1982 from PUC/SP, and in Law in 1987 from FMU, with 42 years of experience in business consulting, in the accounting area, corporate law, social security, commercial, acquisition, incorporation, merger and spin-off of companies and tax planning, worked for 16 years at Price Waterhouse where he held the role of senior manager in the tax and business consulting area, having served as a member of the fiscal council of T4F Entretenimento S.A., controllership manager of CCAB Agro.S.A. and currently as Financial Administrative Director of Paula Raia Criações Eireli and alternate member of the fiscal council of Richard Saigh Industria e Comércio S.A.

Vanessa Souza Virgens – Member

Graduated in Psychology from the University Center of Santo André. MBA in Business Administration with a Focus on Retail, from Fundação Getúlio Vargas and specialization in project management. He previously worked for large companies, such as CVC Corp, Gol and Hotelaria Accor. Works at T4F since 2021. Experience in the development of Human Capital Programs, acting as a strategic partner with leadership, culture, engagement, succession, talent management, Corporate University. Experience in matrix structures, diversified and multicultural structures. Professional performance in Brazil and Latin America.
